Standard Terms and Conditions of Sale
King’s Health Partners, Ground Floor, Counting House, Guy's Hospital, London SE1 9RT (“KHP” or “We” or “Us” or “Our”)
and
Buyer (“You” or “Your”)
KHP and Buyer referred to as party or parties (the “Party” or “Parties”)
DEFINITIONS
“Price” - means price net of value added tax (the “VAT”) which shall be charged in addition to the Price at the rate applicable at the time of Acknowledgement of Order.

GENERAL
KHP shall, subject to these Terms and Conditions, supply the products listed on its store website:
https://learninghub.kingshealthpartners.org/ (the “Site”) on the following terms and conditions (the “Terms and Conditions”). Please read these Terms and Conditions carefully, they govern Your use of:
https://learninghub.kingshealthpartners.org/ as well as any order You make from Our Site.
The main body of these Terms and Conditions relate to Your use of and purchases from https://learninghub.kingshealthpartners.org/. If You do not agree to these Terms and Conditions You should not use the Site or place an order.
When You complete and make payment for an order, You acknowledge that You have read, understood and accepted these Terms and Conditions. Electronic means such as email, notices, information and other communications comply with all legal requirements that such communications should be in writing. This shall not affect your statutory rights.
These Terms and Conditions shall apply unless there are any specific terms and conditions attached to particular products or services supplied, in which case those specific terms and conditions shall apply in addition to these Terms and Conditions.
In the event of any conflict between these Terms and Conditions and any specific terms and conditions, the specific terms and conditions shall prevail.
No terms or conditions endorsed upon, delivered with or contained in the Buyer’s purchase order, confirmation of Order, specification or any other document will form part of this Agreement, including the Buyer’s own terms and conditions or those implied by trade, custom or practice.
If KHP accepts Your order, KHP will send You a confirmation (the “Acknowledgement of Order”) by email to the address You have specified at the time the order is placed. The Acknowledgement of Order, these Terms and Conditions together with KHP’s Privacy Policy attached as Appendix 1 constitute the entire agreement (the “Agreement”) between the Parties. Any variation must be in writing and signed by authorised signatories of both Parties.
Nothing in this Agreement will operate to limit or exclude liability for fraud.
KHP is under a legal duty to supply e-learning material that is in conformity with this Agreement.
PRODUCT DESCRIPTION
All drawings, designs, photographs, descriptions, specifications and other details published on KHP’s Site are for the sole purpose of giving an approximate idea of the e-learning materials so described and no information contained in them or in any other document whatsoever shall form part of the contractual description of the e-learning materials nor shall they form any part of the Agreement. KHP shall not be liable for any inaccuracies or omission in them.
KHP reserves the right to make, without notice, such reasonable modifications in specifications as it deems necessary or desirable.
PAYMENT
The Prices shall be payable by credit or debit card at the time of placing of an order. No order will be accepted until payment in full has been received by KHP.
Payment shall be in pounds sterling. If You pay from outside the United Kingdom, You need to ensure that You transfer a correct amount, including transfer charges, KHP will not accept responsibility for currency fluctuations.
KHP will not be liable for any payment failing to reach the correct account whether as a consequence of incorrect information being provided, or if the payment is declined by the card supplier or for any other reason. KHP shall have no obligation to inform the Buyer if their card has been declined.
If You fail to pay KHP any sum due, KHP shall reserve the right to suspend all other deliveries due from KHP to You and/or refuse to accept any further orders from You.
PRICE
KHP will use reasonable endeavours to maintain a correct price list. The Buyer acknowledges and accepts that despite KHP’s efforts some products may be priced incorrectly, or prices may not be up to date. KHP is under no obligation to sell the Buyer any products or services at the incorrect price, even after an Acknowledgement of Order has been received.
The Price will be as displayed on the Site. Where applicable, VAT will be included in the Price. The total amount due will be confirmed before the Buyer places an Order.
Where VAT has been included in the Price and the Buyer believes that they are not liable for VAT payable in the United Kingdom, for example, because the Buyer is not based in the United Kingdom and the place of supply is outside the United Kingdom, the Buyer should contact KHP and provide the necessary evidence. Where appropriate KHP will use reasonable endeavours to arrange for a refund.
RIGHT TO CANCEL
You have a right to cancel the Agreement within fourteen (14) calendar days without reason. Your right to cancel will expire after 14 calendar days from the day You acquire possession of the products.
To exercise Your right to cancel, You must inform Us in writing without delay and provide a clear statement that You wish to cancel the Agreement. This can be done by sending a cancelation notice (the “Cancelation Notice”) to:
King’s Health Partners, Ground Floor, Counting House, Guy's Hospital, London SE1 9RT. If You choose to send the Cancelation Notice to this address, it must be received by KHP by the 14th day latest; or
If You wish to cancel by email a Cancelation Notice should be addressed to: khplearninghub@kcl.ac.uk). This must be done within the specified period described above.
EFFECTS OF CANCELLATION
If You cancel this Agreement in accordance with these Terms and Conditions, We will use reasonable endeavours to return Your payment within 14 callendar days from receiving Your Cancelation Notice.
Unless agreed otherwise, We will reimburse You by using the same method of payment as You used for the initial transaction less any charges we may incur. Provided that the cancelation is done correctly and as described in the paragraph above, You should not incur any further fees as a result of the cancelation.
We will withhold reimbursement until We have received the products or until such time that You provide acceptable evidence that such reimbursement is due to You otherwise than through return of products.
LIABILITY
KHP’s total liability in contract, tort (including negligence or breach of statutory duty), misrepresentation or otherwise arising out of or in connection with the performance or contemplated performance of the Agreement will be limited to the price of the products or services purchased; and (ii) KHP will not be liable to the Buyer for any loss of profit, loss of business or loss of goodwill nor for any indirect or consequential loss or damage which arises out of or in connection with the Agreement.
FORCE MAJEURE
KHP reserves the right to defer the date of delivery or to cancel the Agreement in case of and including, but not limited to, any strike, lockout, disorder, fire, explosion, accident or stoppage of or affecting KHP’s business or work which is beyond its reasonable control and which prevents the delivery of product(s).
DATA PROTECTION
By entering into this Agreement, You confirm that You have read and agreed to King's Health Partners - Privacy policy on how We collect and store the information received from our customers.

Links on the Site may lead to services or external websites not operated by KHP. No judgement or warranty is made with respect to such other services or sites and KHP takes no responsibility for such other sites or services. A link to another site or service is not an endorsement of that site or service. Any use You make of the information provided on the Site, or any site or service linked to by the Site, is at Your own risk.
